Board members present:

Board Members (with representation): Richard Anderson (at large), Jane Burton-Bell (ARC), Bruce Gregory (CD), Candace Jagel (WSU Ext.), Elaine Kendall (SJIFMA), Mark Madsen (at large), Rebecca Moore (SJIFMA), Suzy Pingree (at large), Bill Watson (EDC), Madden Surbaugh (restaurants), Rob Waldron (IGFC), Peggy Weir (SJIFMA)

Board members absent: David Bauermeister (NABC), Greg Hertel (Port of FH), Rick Hughes (Orcas Farmers Market)

The meeting convened at 5 p.m.

1. MINUTES

Motion (by Mark, seconded by Bill): We approve the January minutes. The motion was passed with one abstention (Elaine).

2. TREASURER'S REPORT/BUDGET REVIEW

Action item: Bill will open a savings account when he is back next month and will deposit the “bricks and mortar” funds for the PFM in that account.

3. PROJECT MANAGER'S REPORT

Motion (by Jane, seconded by Bruce): The board approves the pursuit of a fundraising partnership with the San Juan Island Community Foundation, if the opportunity arises. The motion passed unanimously.

Action item: The committee will develop a timeline of steps in the negotiations process, dovetailed with outreach and fundraising activities.

4. PROPERTY MANAGEMENT

Action item: The board asked Lovel to draft an outline of guidelines for property management, which she will present to the board for further discussion.

5. AG GUILD WEBSITE

Agreed by consensus: Suzy proposes that the minutes posted on the website should contain only motions and not any discussion points.

6. FUNDRAISING COMMITTEE

Motion (by Elaine, seconded by Rebecca): The Ag Guild will reimburse any board member who attends the Feb. 23 fundraising workshop, upon request to Elaine. The motion passed unanimously.

7. BOARD/OFFICERS' TERMS

According to the bylaws, board officers serve a one-year term. The first year will be up in March.

8. COMMUNICATIONS TOOL

Action item: Peggy will research an internet communication tool with Candace and Eliza Buck and present a proposal to the board next month.

First Wednesday at 1 pm
